1. Introduction and Acceptance
These Terms govern your use of the CanolioGourmet platform as a Chef. By registering or providing services through CanolioGourmet, you agree to these Terms. Review our Privacy Policy and platform guidelines, which are incorporated here. If you do not agree, you may not use the platform.
2. Definitions
- CanolioGourmet (CG): The company operating the platform.
- Platform: Online marketplace where CG connects Chefs with Clients.
- Chef: Independent service provider offering culinary services specilizing in cannabis-infused meals; not an employee, agent, or representative of CG.
- Client: Individual or group booking services through CG.
- Booking: Confirmed agreement for service at a specific time and location.
- Offer: Proposal from Chef to Client, including menu, pricing, and details.
- Net Amount: Payment to Chef after CG commission.
- CG Commission: Referral fee charged by CG on confirmed Bookings.
3. Chef Registration
- Eligibility: Must be at least 21 years old and meet local recreational cannabis legal requirements.
- Account Information: Provide truthful, accurate details, including profile, specialties, and payment info.
- Verification: CG may perform ID and credential checks. Chefs may be removed for non-compliance.
4. Relationship with Clients
- Chefs enter direct agreements with Clients; CG acts as an intermediary.
- Chefs are independent contractors and set their own prices.
- Communication must be professional, primarily through the CG, then once booking is confirmed, direct between Chef and client.
- Services must meet high professional standards, follow cannabis laws, health and safety regulations, and respect the Client’s property.
- Chefs must maintain confidentiality of Client information.
5. Booking and Cancellation
- Respond promptly to inquiries.
- Confirmed bookings are binding; cancellations should only occur in emergencies.
- Chef Cancellations: Must notify CG immediately; last-minute cancellations may incur penalties.
- Client No-Show: Contact CG; partial payment will apply.
- Delays: Notify CG and Client; significant delays may impact reputation.
6. Financial Terms
- Chefs receive the Net Amount, after CG commission.
- Chefs are responsible for all operational expenses and taxes.
- Payments are processed by CG.
- Commission applies to bookings originating from CG or through integrations.
- Refunds to Clients after payout may be deducted from future earnings if the issue is Chef-related.
7. Content and Profile
- Profiles must be accurate, original, and non-misleading.
- CG may use uploaded content for marketing.
- Chefs retain responsibility for intellectual property rights of uploaded content.
- Data from the platform must be handled according to privacy laws.
8. Quality, Insurance, and Compliance
- Chefs must maintain professional service standards.
- Insurance is strongly recommended; CG may request proof.
- Chefs must comply with all laws (cannabis related laws, food safety, business registration, labor, privacy, transport, etc.).
- Chefs must maintain records for legal compliance.
9. Platform Policies & Restrictions
- Non-Solicitation: Do not divert clients from CG. Chefs must always go through CanolioGourmet for any references or leads obtained from a CanolioGourmet event, and may not bypass the platform. CanolioGourmet values ethics, goodwill, and trust.
- Non-Discrimination: No discrimination against clients or other chefs.
- Confidentiality: Do not disclose non-public CG information.
- Non-Circumvention: Chefs must not accept direct bookings when a prospect originates from a CanolioGourmet event reference.CanolioGourmet values ethics, goodwill, and trust.
- System Abuse: No fake reviews or manipulation of ratings/referrals.
- Reporting: Notify CG promptly of incidents during services.
10. Term and Termination
- Agreement is effective upon acceptance and remains until terminated.
- Chef Termination: You may deactivate your profile by emailing CanolioGourmet.
- CG Termination: CG may suspend or terminate accounts for breaches to laws, quality issues, or safety concerns.
- Termination ends access to future referrals; certain obligations (payments, indemnities, content rights) survive.
11. Subscription Services
- No subscription fees for chefs. Access to the platform services is free.
12. Indemnification
- Chefs agree to indemnify CG against claims arising from breaches, services, content, taxes, or disputes. This obligation continues post-termination.
13. Limitation of Liability
- CG is not liable for indirect, incidental, or consequential damages.
- Liability cap: maximum of total CG commission earned from your bookings in the six months prior, or $500, whichever is greater.
- Does not limit liability for intentional misconduct or gross negligence.
- Platform and services provided “as is”; bookings are not guaranteed as they rely on clients requests.
14. Dispute Resolution and Governing Law
- Governing Law: Canadian laws.
- Jurisdiction: Courts in the Province of Québec, Canada, with CG able to seek injunctive relief elsewhere if needed.
- Informal Resolution: Encourage contacting support first.
- Optional Arbitration: With mutual consent, disputes may go to binding arbitration.
- Time Limit: Claims must be brought within 6 months of arising.
15. General Provisions
- Entire Agreement: This summary, privacy policy, and platform guidelines form the complete agreement.
- Severability: Invalid provisions do not affect the rest.
- No Waiver: CG may enforce Terms at its discretion.
- Assignment: Chefs cannot transfer accounts; CG may assign its rights.
- Independent Relationship: Chefs operate as independent businesses.
- Third-Party Beneficiaries: Only Chefs and CG have rights under these Terms.
- Notices: CG may contact via email, platform messages, SMS, or WhatsApp; marketing requires opt-in.
- Language: English or French govern; translations are for convenience.
- Acceptance: Providing written consent to become a Chef in the Canolio Gourmet Brigade constitutes agreement.
